根據(jù)《中華人民共和國合同法》及相關(guān)法律法規(guī)的規(guī)定 ;甲、乙雙方在平等、自愿、公平和誠實信用的基礎(chǔ)上 ;經(jīng)協(xié)商一致 ;就甲方將其名下的園博園的六十六年房產(chǎn)使用權(quán)轉(zhuǎn)讓給乙方作為酒店、辦公室、商店及其他的用途使用 ;由乙方向甲方支付轉(zhuǎn)讓房產(chǎn)使用權(quán)費用等事宜訂立本合同。

According to 'contractlaw of the People's Republic of China' and relevant laws and regulations,on the basis of equality, voluntariness, fairness, honesty, trustworthiness andagreement of negotiations, Party A will transfer 66-year property right ofYuanboyuan garden to Party B as a hotel, offices, shops and other purpose.Party B will pay the cost to Party A of transfer of property rights and othermatters to conclude the following contract.

第一條 ;轉(zhuǎn)讓使用權(quán)的房產(chǎn)情況。

Section 1, situation oftransferring property

合同所述房產(chǎn)位于xx市集美區(qū)杏林園博園西大門旁的園博灣溫泉俱樂部 ;使用權(quán)轉(zhuǎn)讓部分指 ;合同后附總平面圖 ; ;園博灣溫泉俱樂部2#樓面積15053.77平方米 ;包括地下室及該棟樓所屬的全部物業(yè)、附屬設(shè)備 ; ;“使用權(quán)轉(zhuǎn)讓部分” ;下簡稱為合同房產(chǎn))。

The mentioned property in thecontract is located by the side of Yuanbowan hot spring club to the westerngate of Yuanboyuan Park in Xinglin, Jimei district, Xiamen. The transfer partof the use right refers to (the attached site plan contract) No. 2 buildingwith an area of 15053.77 square meters (including the basement and thebuildings belonging to all property, accessory equipment) (The transfer part ofthe use right is called housing contract for short in the following).

第二條 ;合同目的。

Section 2, contract purposes

甲方依法轉(zhuǎn)讓合同房產(chǎn)使用權(quán)給乙方做綜合商業(yè)開發(fā)及經(jīng)營之用 (包括酒店、會所、辦公室、商店及其他經(jīng)營用途)。

Party A, in accordance withthe contract, transfer house property right to Party B to make use of theintegrated commercial development and management (including hotels, clubs, offices,shops and other business purposes).

第三條 ;房屋裝修改造約定及現(xiàn)有設(shè)備交付。

Section 3, housing renovationagreement and existing equipment delivery

甲方同意乙方按合同約定對園博灣溫泉俱樂部2#樓進行必要、合理的室內(nèi)裝修 ;但不得破壞房屋原有的基本結(jié)構(gòu)。如乙方確實有需要做室外改造 ;經(jīng)過甲方協(xié)商 ;可進行改造。

Party A agrees that Party B inaccordance with the contract to make necessary, reasonable interior decorationof No.2 building of Yuanboyuan Hot Spring Club. But the original basicstructure of the building shall not be damaged. If outdoor reconstruction isnecessary, arty A can carry out after negotiation with Party B.

甲方應(yīng)當(dāng)向乙方提供轉(zhuǎn)讓房產(chǎn)使用權(quán)的有關(guān)手續(xù) ;提供經(jīng)營用途所需的水電設(shè)備 ;如須另行增加 ;費用均由乙方承擔(dān)。 ;按施工圖執(zhí)行 ;有特殊要求另行約定 ;。

Party A shall provide Party Bthe relevant formalities of the transfer of property right and hydroelectricequipment needed for business purposes. If the equipment shall be increased,the expenses shall be borne by Party B. (It is executed according toconstruction drawing, any special requirements shall be separately prescribed).

第四條 ;合同房產(chǎn)用途約定。

Section 4, agreement of contractproperty use

合同房產(chǎn)作為綜合商業(yè)開發(fā)及經(jīng)營用途 ;乙方應(yīng)合法經(jīng)營其所使用的房產(chǎn) ;不得利用該房產(chǎn)從事非法經(jīng)營活動。

Contract property is used as acomprehensive business development and business purposes which Party B shalllegally operate its use and may not use the property for illegal business.

第五條 ;合同房產(chǎn)使用年限及交付日期。

Section 5, use age anddelivery date of contract property

1、甲、乙雙方一致同意 ;合同約定轉(zhuǎn)讓的房產(chǎn)使用權(quán)年限為66年 ;自2015年 08月01日起至2080年 05月30日止。

Both parties agreed that thecontract of the transfer of property rights for 66 years, from 1stAugust 2015 to 30th May 2080.

2、甲方應(yīng)于 2015 年 09 月 30 日前將合同房產(chǎn)及有關(guān)設(shè)備、物品、手續(xù)、文件資料等交付至乙方 ;待本合同房產(chǎn)使用權(quán)期滿 ;甲方有權(quán)收回該房產(chǎn) ;乙方應(yīng)如期返還。

Party A shall deliver contractproperty, related equipment, materials, formalities and documents to Party Bbefore 30th September, 2015. Termination of property rights to thiscontract, Party A has the right to withdraw the property and Party B shallreturn on schedule.

第六條 ;續(xù)約條件及優(yōu)先續(xù)簽權(quán)。

Section 6, the conditions forextension and priority renewal right

乙方若要在本房產(chǎn)使用權(quán)合同約定的期限屆滿之后繼續(xù)使用該房屋 ;則應(yīng)于房產(chǎn)使用期屆滿前6個月向甲方提出書面繼續(xù)使用請求 ;經(jīng)甲方同意后可以重新簽訂房產(chǎn)使用權(quán)合同。若甲方欲同第三方續(xù)簽房產(chǎn)使用權(quán)合同 ;應(yīng)當(dāng)先向乙方書面詢問是否續(xù)簽合同并告知同第三方約定的續(xù)簽條件 ;在同等條件下 ;乙方有優(yōu)先續(xù)簽權(quán)。乙方應(yīng)當(dāng)自收到書面詢問函之日起30日內(nèi)做出書面回復(fù) ;否則視為乙方放棄續(xù)簽。甲方未依照上述程序 ;同第三方續(xù)簽房屋使用權(quán)轉(zhuǎn)讓合同或其他有轉(zhuǎn)讓房產(chǎn)使用權(quán)內(nèi)容的合同的 ;應(yīng)當(dāng)按照合同第十二條第三款承擔(dān)違約責(zé)任。

If Party B shall continue touse the property after the expiration of the contract term, the party shallsubmit a written request to Party A for six months prior to the expiration ofthe term of use of the property and sign a property right contract after agreedby Party A. If Party A shall renew the use right of contract property withthird parties, it should be first to Party B in writing to ask whether to renewthe contract and inform the renewal conditions with third parties. Under thesame conditions, Party B shall have the priority right of renewal. Party Bshall make a written reply within 30 days from the date of receipt of writteninquiry; otherwise Party B will abandon the renewal. Party A failing follow theabove procedures and signing transfer contract of property use right or anycontract with content of property use right transfer with third parties shallbear the liability of breach contract in accordance with term 3 in Section 12.

第七條 ;轉(zhuǎn)讓費支付方式。

Section 7, transfer feepayment

1、該房產(chǎn)使用權(quán)轉(zhuǎn)讓費用 ;按照總建筑面積人民幣壹萬肆仟圓/平方米計算即 21075.27萬元 ;建筑面積按竣工圖以政府指定測量單位測量面積為準(zhǔn) ; ;其付款期限如下 ;

1, According to thecalculation of RMB 14000/square meters, the property rights transfer fees inaccordance with the total construction area should be 210.75 million Chineseyuan (The construction area shall be subject to the measurement area of thedesignated measurement unit by the government in the construction area), theterm of payment is as follows:

第一期 ;支付40% 的總金額為人民8430萬元 ;乙方應(yīng)在2015年9月30日前支付 ;

Phase 1, Party B shall pay 40%of the total amount which is 84.3 million yuan before 30th September2015.

第二期 ;支付30% 的總金額為人民幣6322萬元 ;乙方應(yīng)在2015年12月31日前支付 ;

Phase 2, Party B shall pay 30%of the total amount which is 63.22 million yuan before 31st December2015.

第三期 ;支付20% 的總金額為人民幣 4215萬元 ;乙方應(yīng)在2016年2月6日前支付 ;

Phase 3, Party B shall pay 20%of the total amount which is 42.15 million Chinese yuan before 6thFebruary 2016

第四期 ;剩余10%的總金額2108.27萬元 ;作為房產(chǎn)建筑工程保修金 ; ;在簽訂合同之日起5年后 ;乙方確認(rèn)建筑內(nèi)部一切無誤及妥當(dāng)后 ;扣除在此期間依合同第九條應(yīng)扣除的部分后一次性支付給甲方。

Phase 4, The remaining 10% ofthe total amount which is 21.0827 million Chinese yuan (as a real estateconstruction project warranty) will be paid in 5 years after the signing of thecontract as Party B confirm that all buildings correct and proper and makededuction of parts which will be deducted in accordance with section 9.

第八條 ;其它費用及交房約定。

Section 8, other fees andother payment

1、交付房屋前 ;甲方應(yīng)繳清所有已經(jīng)產(chǎn)生的水、電、煤氣、有線、公攤及物業(yè)管理等費用 ;若乙方先代為支付的 ;可以向甲方追償 ;交付房屋后 ;在本合同約定的房產(chǎn)使用期內(nèi) ;乙方使用該房屋所發(fā)生的水、電由乙方承擔(dān) ;乙方可自行處理物業(yè)管理 ; ;其它因乙方使用合同房產(chǎn)所產(chǎn)生的費用 ;亦由乙方承擔(dān)。物業(yè)管理費按物業(yè)的規(guī)定繳費。

Prior delivery of property, Party A shall pay allwater, electricity, gas, cable, public area fees and property management fees.In case that Party B has fulfilled the payment in advance on behalf of Party A,Party B has the right of exercising recourse to Party A. After delivery ofproperty, Party B should bear the water, electricity in the use of the premisesof the contract (Party B can handle property management); any other feesarising from the use of property by Party B should be paid by Party B (Party Ashall bear the fees and taxes involved in the handling of delivery of theproperty).

2、甲方交付給乙方的房屋應(yīng)當(dāng)符合雙方約定的交房條件 ;甲方應(yīng)當(dāng)負(fù)責(zé)房屋主體結(jié)構(gòu)的質(zhì)量控制、保證外墻以及玻璃幕墻的完整和質(zhì)量良好、保證屋面不存在漏水等質(zhì)量缺陷 ;若乙方在房屋使用過程中發(fā)現(xiàn)存在以上房屋質(zhì)量瑕疵或缺陷 ;乙方有權(quán)要求甲方限期做出補救措施 ;如甲方經(jīng)乙方書面催告15日內(nèi)不予協(xié)商、采取具體的補救措施或經(jīng)過甲方或乙方補救后仍然無法達到交房條件 ;嚴(yán)重影響乙方實現(xiàn)合同目的的 ;乙方可據(jù)此解除合同 ;甲方應(yīng)當(dāng)賠償乙方為使用合同房產(chǎn)已經(jīng)發(fā)生的全部費用 ;包括裝修費、設(shè)備購置、物業(yè)管理、人工工資、已付款項的資金費用及每天萬分之三利息 ;律師咨詢費等 ;。

The property Party A deliveredto Party B should be in accordance with agreed delivery conditions. Party Ashould be responsible for the quality control of the housing structure toensure the integrity and quality of glass curtain wall and avoid any qualitydefects like wall leakage. In any quality defects were found by Party B in theprocess of building use, Party shall have a right to request Party A to make aremedy within a time limit. If Party A make no negotiation or ignore to takeremedial measures after receiving a written notice from Party B in 15 days orany remedial measures taken by Party A or Party B cannot meet the conditions ofdelivery property which will impact on the fulfillment of the contractpurposes, Party B can terminate the contract. Party A shall compensate Party Ball expenses occurred in the use of contract property (including renovationcosts, equipment purchase, property management, labor wages, the cost of thepaid capital, 3/10000 interest per day and Lawyer consultancy fee etc. ) andbear the liability for breach of contract.

3、甲方應(yīng)確保該房屋權(quán)屬清楚 ;無任何債權(quán)債務(wù)糾紛并具備充分的使用權(quán)轉(zhuǎn)讓條件 ;不存在其他使用權(quán)共有人 ;且房屋在本合同簽訂之前未曾設(shè)立抵押或簽定涉及抵押內(nèi)容的合同。

Party A shall ensure that thehousing authority is clear without any claims and debts disputes and possesssufficient conditions for the transfer of right of use.There is no other use right here, and the property has not been set upthe mortgage or signed any contract involving mortgage content before signingthis contract.

4、乙方在本合同簽訂后即可開始規(guī)劃設(shè)計、外裝工程等活動 ;甲乙雙方應(yīng)當(dāng)積極配合相互工作。

Party B can start planningdesign, external installation and other activities after signing the contract.Both parties actively cooperate with each other.

5、乙方二次裝修應(yīng)遵守相關(guān)法律法規(guī)。甲方應(yīng)配合乙方辦理二次裝修及消防驗收等工程改造 ;如果審批因房屋質(zhì)量瑕疵或缺陷問題 ;乙方有權(quán)按照本條第二款執(zhí)行。

Party B shall comply with therelevant laws and regulations to conduct the second decoration. Party A shouldcooperate with Party B to handle the second decoration and fire-protectionacceptance engineering. If any quality defects occurred in the buildingexamination and approval, Party B has the right to carry out in accordance withthe second paragraph in this section.

6. 地下室為車庫 ;乙方不能改變其用途 ;甲方應(yīng)當(dāng)保證設(shè)備能正常使用。

The basement is used forgarage and Party B cannot change its use. Party A should guarantee that theequipment can be used normally.

第九條 ;房屋使用要求和維修責(zé)任。

Section 9, housing userequirement and maintenance responsibilities

1、在本合同約定的房產(chǎn)使用期第一年 ;自 2015年08月01日起12個月 ;內(nèi) ;乙方發(fā)現(xiàn)該房屋結(jié)構(gòu)損壞或屋面漏水時 ;應(yīng)及時通知甲方 ;由甲方按合同的約定 ;在接到乙方通知后15日內(nèi)進行維修。逾期不維修的 ;乙方可代為維修 ;費用由甲方負(fù)責(zé)承擔(dān)并從10%的工程保修金中扣除 ;乙方應(yīng)保留有關(guān)收據(jù)、發(fā)票及轉(zhuǎn)賬憑證至合同房產(chǎn)使用費的最后付款日 ;。若經(jīng)維修仍然無法正常使用的 ;乙方可據(jù)此單方面提出解除合同 ;并要求甲方承擔(dān)交付房屋存在質(zhì)量瑕疵的違約責(zé)任 ;賠償乙方為本合同履行已經(jīng)實際支付以及乙方為甲方墊付的全部費用 ;并按本合同第十二條第四款承擔(dān)違約責(zé)任。

In the first year of theperiod of use of the premises as stipulated in this contract (12 months startingfrom 1st August 2015), Party B shall inform Party A in time when thehousing structure is damaged or roof is leaking; in accordance with thecontract, Party A shall carry out the maintenance in 15 days after receivingnotice from Party B. if the maintenance exceeds the time limit, Party B maytake charge of the maintenance and the expenses shall be borne by Party A andshall be deducted from 10% of the project guarantee payment(Party B shall keepreceipt, invoice and transfer voucher to the final payment date of expenses ofproperty use). Party B can unilaterally terminate the contract and requireParty A to take the responsibility for breach of contract for quality defectsin delivery of property and compensate Party B for expenses paid in the performanceof this contract and all the cost Party B has paid for Party A; to comply withthe fourth paragraph of Section 12, Party A is liable for the breach ofcontract.

2、乙方需裝修房屋或者增設(shè)的附屬設(shè)施和設(shè)備 ;必須是與乙方的經(jīng)營項目有關(guān)的 ;超出經(jīng)營項目的 ;必須事先通知甲方 ;由乙方按原房產(chǎn)使用合同的約定征得甲方的書面同意 ;若按規(guī)定須經(jīng)有關(guān)部門審批的 ;應(yīng)報經(jīng)有部門核準(zhǔn)后方可進行 ;甲方應(yīng)予以積極配合和支持。

For any house renovation orfacilities and equipment Party B need to handle shall be relevant withoperating projects. Any activity beyond the operating items, Party A mustinform Party B in advance and get written consent from Party A according to theoriginal property use contract agreement. If required by the relevantdepartments for examination and approval, Party B should submit to the approvalof the Department for carrying out, Party A should actively cooperate with andsupport.

第十條 ;房屋返還時的狀態(tài)。

Section 10, the returningstate of the house

1、乙方必須在2080年05月30日前 ;即本合同約定的房產(chǎn)使用期屆滿前 ;退出 ;交還房屋給甲方 ;但對已裝修及改造的不可移動的部分不得拆除。

Party B must withdraw before30th May 2080 (that is, before the expiration of the term of use ofthe property used in this contract), and return the premises to Party A, butshall not remove the non removable part of the renovation and transformation.

2、除甲方同意乙方繼續(xù)使用外 ;未經(jīng)甲方同意逾期返還房屋的 ;每逾期一月 ;除支付正常使用金外 ;乙方還應(yīng)按月使用金的百分之十向甲方支付該房屋占用期間的使用費的違約金。

Party B shall return therental Property to Party A on time. In case that Party B had delayed returningthe Property without Party A’s prior consent, Party B shall pay the rentalduring the delayed period in addition to a monthly penalty which should becalculated by 10% of monthly rental.

3、乙方按本合同約定返還該房屋時 ;應(yīng)經(jīng)甲方驗收認(rèn)可 ;并相互結(jié)清各自的費用(包括因乙方添附等行為而增加的部分設(shè)施設(shè)備的折價結(jié)算) ;方可辦理退出使用權(quán)手續(xù)。

Party B shall get approvalfrom Party A in accordance with the time of returning the property as requestedin the contract and get mutual settlement of their cost (including somediscount settlement of facilities increased by Party B due to appendedbehavior) to handle the procedures of withdrawing the right of use.

第十一條 ;轉(zhuǎn)租、轉(zhuǎn)讓和交換。

Section 11, sublet, transferand exchange

在本合同房產(chǎn)使用期間 ;乙方有權(quán)再轉(zhuǎn)讓酒店、辦公室、店面等的使用權(quán)或進行轉(zhuǎn)租等對房屋使用權(quán)進行處分的行為 ;乙方須事先書面通知甲方 ;但無須得到甲方同意。甲方不能對乙方進行任何干涉和妨礙 ;如乙方有需要 ;應(yīng)及時提供必要文件及配合 ;同時乙方同意按再轉(zhuǎn)讓成交金額的3%支付手續(xù)費給杏林社區(qū)居委會。

During the use ofthe contract property, Party B has the right to transfer or sublet the hotel,office and stores or take any behavior to deal with the property right. Party Bshall inform Party A by written notice in advance, but not to be agreed byParty A. Party A shall not interfere with Party B and should provide necessarydocuments and cooperation to Party if needed. At the same time, Party B agreesto transfer 3% retransfer transaction amount to pay commission charge to theXinglin community neighborhood committee.

第十二條 ;合同終止與違約責(zé)任。

Section 12,Termination of contract and liability for breach ofcontract

1、本合同雙方履行完畢后自動終止。

This contract is automaticallyterminated after the completion of the two parties.

2、本合同不因甲方法人變更、分立、重組而失效 ;不因村兩委改選而失效。若因甲方股權(quán)變動、法人變更或村兩委改選、村兩委新決議致使本合同無法繼續(xù)履行的 ;甲方應(yīng)按照本條第四款約定承擔(dān)違約責(zé)任。

The contract shall not faildue to change of legal person, separation and recombination or the reelectionof village committees. Any changes of equity, legal person of reelection ofvillage committee or any new resolution of village committee make the contractcannot continue to perform, Party A should be liable for breach of contractaccording to No. 4 paragraph in this section.

3、本合同違約金為房屋使用權(quán)轉(zhuǎn)讓費總額的50% ;即7526.885萬元。

The liquidated damages fortransfer fee of property use right is 50% of the total amount, which is75,268,850 yuan.

4、 ;1 ;在合同房產(chǎn)使用期間內(nèi)發(fā)生合同終止 ;解除 ;的 ;除因乙方原因?qū)е潞贤K止 ;解除 ;外 ;若因本合同終止 ;解除 ;使乙方遭受損失的 ;甲方應(yīng)歸還剩余的未使用年限的合同房產(chǎn)使用權(quán)轉(zhuǎn)讓費及占用利息 ;按同期中國人民銀行貸款利率自合同生效之日計算至其實際歸還日 ; ;并按照合同約定的房屋使用權(quán)轉(zhuǎn)讓費總額的50%作為違約金賠償給乙方。

A ;該房屋占地范圍的土地使用權(quán)依法提前收回的 ;

The land use right of theproperty is to be recovered in advance in accordance with the law.

B ;該房屋因社會公共利益或城市建設(shè)需要被依法征用的或者拆遷的 ;

The property building is to belegally required or removed due to social public interest or urban constructionneed.

C ;該房屋因不可抗力原因毀損、滅失或者被鑒定為危險房屋的。

The building is damaged, lostor identified as dangerous building due to force majeure reason.

5、甲方應(yīng)確保該房屋權(quán)屬清楚 ;無任何債權(quán)債務(wù)糾紛并具備充分的使用權(quán)轉(zhuǎn)讓條件 ;不存在其他使用權(quán)共有人 ;且房屋在本合同簽訂之前未曾設(shè)立抵押或簽定涉及抵押內(nèi)容的合同 ;若在乙方使用經(jīng)營期間 ;因甲方將該房產(chǎn)抵押或權(quán)利轉(zhuǎn)讓 ;產(chǎn)生法律糾紛 ;影響乙方的使用及經(jīng)營的 ;甲方須賠償乙方的所有經(jīng)營損失并按照第十二條第三款賠償。

Party A shall ensure that thehousing authority is clear, without any claims and debts disputes and have thefull use of the transfer conditions. There is no other use right here, and theproperty has not been set up the mortgage or signed any contract involvingmortgage content before signing this contract. Legal disputes arising in theoperation caused by property mortgage or transfer which affect Party B to useand operate the property, Party A should compensate all the operation losses inaccordance with item three of section 12.

6、在本合同期間 ;除政府法令、不可抗力導(dǎo)致合同解除及本合同另有約定外 ;任何一方不可單方面解除合同 ;單方面解除合同一方應(yīng)按第十二條第三款賠償 ;給對方造成損失的 ;支付的違約金不足抵付一方損失的 ;還應(yīng)賠償造成的損失與違約金的差額部分。

In the course of the contract,either party could terminate the contract in addition to the government decree,force majeure cause or other agreement in this contract. Either party terminatethe contract should compensate complying with item 3 in section 12. Any losscaused to the other party and the compensation failing to meet the loss, theparty shall compensate the loss and difference between liquidated damages andloss.

7、任何一方違反本合同承諾和義務(wù) ;導(dǎo)致本合同無法履行的 ;違反合同的一方 ;應(yīng)按第十二條第三款支付違約金 ;守約方有權(quán)解除合同 ;但應(yīng)書面通知違約方。合同自《解除合同書面通知書》送達至對方之日起解除 ;給對方造成損失的 ;支付的違約金不足抵付一方損失 ;還應(yīng)賠償造成的損失與違約金的差額部分。

Either party in violation ofthe contract commitments and obligations and leading to the failure of thecontract, should pay for breach of contract according to the item 3 of section12. The other party has the right to terminate the contract, but shall notifythe party in breach. The contract should be terminated on the delivery of thewritten notice of contract termination. Any loss caused to the other party andthe compensation failing to meet the loss, the party shall compensate the lossand difference between liquidated damages and loss.

8、因政府拆遷獎勵按相關(guān)法律法規(guī)和政策執(zhí)行 ;由于國家規(guī)劃部門要求須將本地塊變更為商業(yè)用地 ;產(chǎn)生的相關(guān)費用亦按相關(guān)法律法規(guī)和政策執(zhí)行。如有上述情形 ;甲方保證乙方享有以下合法權(quán)益 ;乙方可選擇獲得相關(guān)的拆遷補償獎勵的50%或選擇甲方按照本合同第十二條第四款賠償乙方。

Government demolition awards are done according to therelevant laws and regulations and policy implementation. The relevant costscaused by national planning department to change the local block intocommercial land should be implemented in accordance with relevant laws andpolicies. In case of the above situation, Party A guarantees that Party B shallenjoy the following legal rights and interests: Party B may choose to obtain50% of the removal compensation or choose Party A to compensate according toitem 4 in section 12.

9、甲、乙雙方同意 ;有下列情形之一的 ;應(yīng)當(dāng)承擔(dān)本條第三款約定的違約責(zé)任。違反合同的一方 ;應(yīng)向另一方予以賠償 ;給對方造成損失的 ;若支付的違約金不足抵付一方損失的 ;還應(yīng)賠償造成的損失與違約金的差額部分。同時守約一方可書面通知另一方解除本合同 ;合同自書面通知到達對方之日起解除。

In case the followingcircumstances, Party A and Party B shall bear the liability of breach ofcontract according to item 3 in this contract. Either party in violation of thecontract shall be liable to compensate the other party. Any loss caused to theother party and the compensation failing to meet the loss, the party shallcompensate the loss and difference between liquidated damages and loss. Theother party has the right to terminate the contract on written notice. Thecontract should be terminated on the delivery of the written notice.

;3 ;     乙方未按本合同約定征得甲方書面同意 ;擅自改變房屋用途 ;致使房屋損壞的 ;

Party B is unauthorized tochange the use of the property and cause damages without the written consentfrom Party A.

;4 ;      因乙方原因造成房屋主體結(jié)構(gòu)損壞的 ;

The main structure of thebuilding is damaged caused by Party B.

;5 ;       甲方未保證乙方優(yōu)先續(xù)租權(quán) ;將房屋使用權(quán)轉(zhuǎn)讓給第三方的 ;

Party A transfer the use rightof the property to third party without guarantee the priority of Party B forcontinuous lease.

;6 ;       乙方非法經(jīng)營的 ;

The illegal operation of PartyB.

;7 ;       乙方逾期支付房屋使用權(quán)轉(zhuǎn)讓費超過60日的 ;

Party B fails to pay thetransfer fee for the use of the property for more than 60 days.

;8 ;       一方無正當(dāng)理由單方面解除合同的 ;

The contract is unilaterallyterminated without any justifiable cause

;9 ;       在房產(chǎn)使用權(quán)期間 ;非本合同約定情況 ;甲方擅自解除本合同 ;提前收回該房屋的或者乙方逾期支付房產(chǎn)使用權(quán)轉(zhuǎn)讓費超過60日的 ;

In the course of the propertyuse, Party A terminate the contract without authorization and recover theproperty in advance or Party B fails to pay the transfer fee for the use of theproperty for more than 60 days.

10、若乙方逾期支付房產(chǎn)使用權(quán)轉(zhuǎn)讓費的 ;每逾期一日 ;乙方需以當(dāng)期未支付金額為基數(shù) ;按當(dāng)年的萬分之三的日利息支付逾期利息給甲方。延誤日期超過60日時 ;甲方有權(quán)單方面終止本合同 ;并要求乙方支付逾期利息或者依本合同第十二條第三款計算的違約金。

If Party B fails to pay thetransfer fee for the transfer of property rights, Party B needs to pay thedaily overdue interest to Party A based on the current unpaid amount accordingto the 3/10000 of the day interest. When the delay of payment exceeds 60 days,Party A has the right to terminate this contract unilaterally, and requestParty B to pay overdue interest or to calculate the liquidated damages inaccordance with item 3 in section 12.

11、房產(chǎn)使用期間 ;乙方應(yīng)合理使用并保護該房屋及附屬設(shè)施 ;乙方未按約定或者超出約定范圍和要求裝修房屋或者增設(shè)附屬設(shè)施的 ;甲方可以要求乙方恢復(fù)房屋原狀或賠償損失。

During use, Party B shallreasonably use and protect the premises and ancillary facilities. Party B failsto require the renovation of property or additional ancillary facilitiesaccording to the agreement or exceeding the scope of the agreement, Party A mayrequest Party B to recover the state of the property and compensate the losses.

12、因不可抗力導(dǎo)致甲乙雙方或一方不能完全履行本合同約定的有關(guān)義務(wù)時 ;甲乙雙方相互不承擔(dān)違約責(zé)任。但遇有不可抗力的一方或雙方應(yīng)予不可抗力發(fā)生后10日內(nèi)將情況告之對方 ;并應(yīng)當(dāng)提供有關(guān)證明。在不可抗力影響消除后的合理時間內(nèi) ;若合同能夠繼續(xù)履行的 ;一方或雙方應(yīng)當(dāng)繼續(xù)履行合同。

Both parties do not assume theresponsibility for breach of contract due to force majeure causes which makeboth parties and one party could not fulfill the obligations of the contract.In case of force majeure, both parties and one party shall inform the otherparty of the situation within 10 days after the occurrence and provide relevantevidence. If the contract can continue to be performed in a reasonable periodof time after the event of force majeure, one party or both parties shallcontinue to perform the contract.

第十三條 ;其他條款

Section 13, other terms

1、本合同自雙方簽字之日起正式生效。

This contract shall come intoeffect as of the date of signature of both parties.

2、乙方須遵守國家的有關(guān)法律法規(guī) ;依法經(jīng)營與依法納稅 ;含租金物業(yè)稅等 ; ;并加強管理 ;一切后果由乙方自行承擔(dān)。

Party B shall comply with therelevant laws and regulations of the state, and shall be responsible for theoperation and administration of the law and taxation law (including theproperty tax, etc.), and strengthen the management; all the consequences shallbe borne by Party B.

3、本合同未盡事宜 ;經(jīng)甲、乙雙方協(xié)商一致 ;可訂立補充條款。本合同補充條款及附件為本合同不可分割的一部分 ;本合同及其補充條款 ;具有同等效力。

Supplementary provisions canbe made for matters not covered in this contract by the agreement of the twoparties. The supplementary terms and the annex to this contract shall be anintegral part of this contract. The contract and the supplementary provisionsthereof shall have the same effect.

4、甲、乙雙方在簽署本合同時 ;均具有完全民事行為能力 ;對各自的權(quán)利、義務(wù)、責(zé)任清楚明白 ;并愿按合同規(guī)定嚴(yán)格執(zhí)行。如一方違反本合同 ;另一方有權(quán)按本合同約定索賠。

Party A and Party B shall havefull capacity for civil conduct when they sign the contract and clearlyunderstand the rights, obligations and responsibilities of each party, and theyshall strictly enforce in accordance with the stipulations of the contract. Ifone party violates the contract, the other party is entitled to claim as agreedin this contract.

第十四條 ;爭議的解決

Section 14, dispute resolution

各方當(dāng)事人在履行本合同過程中發(fā)生爭議時 ;應(yīng)當(dāng)協(xié)商解決 ;協(xié)商不能解決的由合同房產(chǎn)所在地人民法院裁決。

Disputes arising from the executionof the contract shall be settled through consultation. Disputes cannot besolved by negotiation should be decided by people’s court of the propertylocation.

第十五條 ;本合同一式二份 ;甲乙雙方各執(zhí)一份 ;具有同等效力。
